IMCA Marine Construction Contract

IMCA Marine Construction Contract

This is a new, worldwide, standard contract available for use, as appropriate, by any party. This contract is based on the LOGIC contract entitled General conditions of contract (including guidance notes) for marine construction, Edition 2, October 2004, from the series of standard contracts for the UK offshore oil & gas industry, published by LOGIC. We are indebted to LOGIC for granting us permission to base our contract on theirs.

Readers familiar with the LOGIC contract will see that the format is similar. The contract uses English Law but all references to UK requirements have been removed, so it can be used on a world-wide basis. The drafting of this contract took place because the LOGIC contract was being adapted and used in different places around the world, but each adaptation was different. This was at best confusing and caused reviewers an unnecessary waste of time, and at worst led to dispute. We have taken the opportunity to update and clarify the contract in some other areas at the same time.

The contract is available to any party to use as they see fit. IMCA does not make its use in any way mandatory for members or non-members. It is published for clients and contractors as an option alongside their in-house standard contracts and other industry published standard contracts. Each party is free to negotiate its own terms, qualify and adapt it, should it wish to do so, in order to achieve a contract satisfactory to both parties.
